Terms and Conditions

1. TUPACA is a company that provides software development, design, implementation, and integration services. The purpose of these Terms and Conditions is to establish the basis under which TUPACA makes available to its clients a tool (the “Quotation Tool”) that allows them to obtain an estimated price for a specific service offered by TUPACA.

2. The user of the Quotation Tool (the “User”) declares that: (i) they are over eighteen (18) years of age and have the legal capacity to enter into contracts; (ii) at the time of requesting a quotation, they formally and expressly accept and acknowledge these Terms and Conditions; (iii) all information provided to TUPACA is true, accurate, verifiable, and either owned by the User or provided with sufficient authorization, and that such authorization has not been challenged by third parties. The User assumes full responsibility for any damages or losses that such information may cause to TUPACA or its clients and releases TUPACA from any liability arising therefrom; (iv) if acting on behalf of a legal entity, they declare that they have the necessary legal authority to bind and obligate such entity in accordance with these Terms and Conditions and/or the services requested on its behalf

3. The User acknowledges and agrees that the prices provided by TUPACA are estimates only, based exclusively on the parameters supplied by the User at the time of requesting the quotation. Until a contract or service agreement is formally executed, all prices indicated by TUPACA shall be considered non-binding estimates and may be modified at TUPACA’s discretion according to the specific circumstances of the service to be provided.

4. Any quotation issued shall be preliminary and provisional in nature. It does not constitute a binding offer nor does it obligate either party to formalize an offer or complete a purchase. Quotations are provided solely for informational and guidance purposes only regarding the potential engagement of TUPACA’s services.

5. TUPACA reserves the right to adjust any price related to the service and to inform the User prior to entering into the corresponding contract when—due to errors in assessment, new requests by the User, information previously unknown to TUPACA, or unforeseen or significant economic fluctuations in the market—the quoted price does not align with the technical or operational characteristics of the service.

6. TUPACA may modify prices, conditions, availability, and information related to its products and services at any time and without prior notice. Any quotation shall remain valid for a period of five (5) business days. If, upon expiration of such period, the User has not initiated formal discussions to engage TUPACA’s services, a new quotation must be requested.

7. Any discounts, promotions, or special offers that TUPACA may provide through the Quotation Tool or any other channel are not cumulative, unless expressly stated otherwise. If the User qualifies for multiple discounts, only the discount offering the greatest benefit shall apply. TUPACA reserves the right to establish the specific terms and conditions applicable to each discount, promotion, or special offer, including their validity period, limitations, and eligibility requirements.

8. Use of the Quotation Tool may involve the processing of personal data. Any personal data collected by TUPACA during use of the Quotation Tool and/or the contracting process shall be processed in accordance with the Argentine Personal Data Protection Law and its regulatory decree, as well as any other applicable legal provisions. Users are informed that the Agencia de Acceso a la Información Pública, as the enforcement authority of Law No. 25,326, is empowered to receive complaints and claims from individuals whose data protection rights have been affected by non-compliance with applicable regulations. 9. TUPACA reserves the right to partially or fully amend these Terms and Conditions at any time. Any modifications shall be communicated to Users through TUPACA’s website and shall become effective as of the moment they are published and/or notified.

10. These Terms and Conditions shall be governed by the laws of the Republic of Argentina. The User acknowledges and accepts the scope and content of these Terms and Conditions and declares that they faithfully reflect their intent. In the event of any dispute, breach, or interpretation issue arising from these Terms and Conditions, the parties submit to the exclusive jurisdiction of the competent courts with jurisdiction in the Autonomous City of Buenos Aires, expressly waiving any other jurisdiction that may correspond based on their current or future domicile.
